That could be answered if we knew the volume of one 40-lb bag. Bags of leaves, styrofoam, beans, and gold all have vastly different volumes.
A 40 lb. bag of soil containing 2 cu.ft.3 will cover 25 sq.ft. @ 1" inch deep. My guess then would be 4 or more -40lb. bags would take care of 24 sq.ft. 4" deep.
The answer depends on the depth to which you wish to cover it.
