The reason has to do with how blood flows through the body, and blood pressure. When lying down, blood pressure to the brain is fairly low, since there is less pressure required to pump blood to the brain in a horizontal body - it's not fighting gravity as the entire body is on the same level plane.

However, when a person stands up too quickly, the body doesn't have enough time to react to the rapid increase in gravity that short distance causes, and therefore doesn't have enough time to increase blood pressure flow to the brain. So the reason a person can feel dizzy is that when they stand up, there isn't enough blood flow to the brain yet - it takes a couple of seconds for the heart to catch up. It can also happen even if a person is just stiting down and stands up.
